General Terms and Conditions for Online Sales

1. These General Terms and Conditions for Online Sales (hereinafter referred to as “General Terms”) apply to all purchase orders you place on the StorageMart online store accessed thru  www.storagemart.com.ph (hereinafter referred to as “Website”) and your subsequent agreement with StorageMart Corporation (hereinafter referred to as “Storagemart”) regarding your purchase of packaging materials, storage services, and other online products (collectively referred to as “Products”).
2. These General Terms shall apply exclusively. We do not accept any conflicting or deviating terms and conditions, unless this has been agreed in the individual case with a legal representative of Storagemart in writing. Our General Terms shall apply to deliveries even in the event that the conflicting or deviating terms have not been contradicted by Storagemart.
3. These General Terms apply equally to commercial entities and consumers. Differing provisions for consumers have been made where necessary.

1. The product presentation on our Website does not represent an offer but shall be understood as a non-binding invitation for the customer to submit an order.
2. By clicking the “Buy now” button, you send us a binding offer for the conclusion of a purchase agreement with Storagemart regarding the items in your shopping cart (hereinafter referred to as “Order”).
3. If you place an Order through our Website, the ordering process comprises four steps:
   • You select the desired products, goods or products.
   • You check all items in your shopping cart and apply any necessary changes. You click the “Check out” button to proceed to payment.
   • If you have not already done so, you log into your user account with email and password and enter the required customer data for the invoice.
   • Finally, on the “Checkout” page, you select the preferred method of payment and confirm your acceptance of the conditions that shall apply to the purchase. Here, you can again change the invoice details, check your purchase data and return to the cart by clicking “Back to cart”. By clicking “Buy now”, your Order becomes binding.
4. Orders will be deemed to be irrevocable and unconditional upon transmission through the Website and Storagemart shall be prompted to process such Orders without your further consent and without any further reference or notice to you.
5. For the avoidance of doubt, Storagemart reserves the right to decline to process or accept any Order received from or through the website in its absolute discretion. Storagemart will accept your Order by sending an order confirmation to you. Unless otherwise stated, the effective date of the purchase agreement is the date on which Storagemart confirms by email the acceptance of your Order. An Order accepted by Storagemart shall be referred to as a “Purchase Contract”.
6. Unless you receive a notice from Storagemart confirming your Order, Storagemart shall not be party to any legally binding agreements or promises made for the sale or other dealings with the Product(s) and accordingly Storagemart shall not be liable for any Losses which may be incurred as a result. Please note that there are cases when an order cannot be processed for various reasons. Storagemart reserves the right to refuse or cancel any order for any reason at any given time. You may be asked to provide additional verifications or information, including but not limited to phone number and address, before we accept the order.
7. With our order confirmation, we will send you a copy of the corresponding purchase contract, including the corresponding invoice, to your email address.

1. All prices quoted on our Website are in Philippine pesos net, excluding taxes or charges that may apply to the particular case. The price of the Products payable by a customer shall be the price quoted at the time at which the Order placed by the customer is transmitted to Storagemart through the Website.
2. All prices quoted are subject to taxes and shipping and packing charges, unless otherwise stated. The taxes and additional charges applicable shall be added to the amount of the product price, as specified on the checkout page.
3. Any additional custom taxes, duties, fees, imposts, tariffs and charges that may be raised by particular countries or authorities related to the conclusion or execution of your Order shall be borne by you. In the event Storagemart is required to pay such charges to any authority, you shall indemnify and hold harmless Storagemart for any such payments.
4. In the event of obvious errors on the Website or made in connection with your Order, Storagemart reserves the right to correct the error and charge you the correct price. In such a situation, we will contact you and offer you the option of purchasing the products at the correct price or cancelling your Order.
5. Storagemart reserves the right to amend the product pricing information at any time without giving any reason or prior notice.

1. You may select any of the payments methods prescribed on the Website. When you place an Order, actual payment will be only charged upon Storagemart’s acceptance of your Order and the formation of a Purchase Contract.
2. Storagemart reserves the right to exclude or include particular payment methods at any time. The payment methods may be subject to additional terms as prescribed by Storagemart from time to time. Storagemart may, at any time, modify or discontinue, temporarily or permanently, any payment method without notice to you or giving any reason.
3. If the customer fails to make any payment pursuant to the terms and conditions of the payment method elected or payment is cancelled for any reason whatsoever, then without prejudice to any other right or remedy available to Storagemart, Storagemart shall be entitled to cancel the Purchase Contract or suspend delivery of the Products until payment is made in full.

1. Delivery of the Products shall be made to the address you specify in your Order either by Storagemart or its agents.
2. Shipping and packing charges shall be as set out in the Checkout page.
3. You may track the status of the delivery at the “Order Tracking” page of the Website if applicable.
4. Storagemart shall make every reasonable effort to deliver the Products without delay upon confirmation of your successful payment of the purchase price. Time for delivery shall be prolonged by reasonable periods in case of force majeure or other events for which Storagemart is not responsible, such as disruptions in operations, strikes, authority measures, or troubles with transportation.
5. The delivery of the Products may be subject to availability of the Products. While stock information on the Website is updated regularly, it is possible that in some instances a Product may become unavailable between updates. All delivery timeframes given are estimates only and delays can occur. If the delivery of your Product is delayed, Storagemart will inform you accordingly via e-mail and your Product will be dispatched as soon as it becomes available. The time for delivery shall not be of the essence, and Storagemart shall not be liable for any delay in delivery that may be caused.
6. In the event that customer does not receive the Product by the projected delivery date and provided that you inform Storagemart within 3 days immediately from such projected delivery date, Storagemart will try, to the best of its ability, to locate and deliver the Product. If Storagemart does not hear from the customer within three (3) days from such projected delivery date, he shall be deemed to have received the Product, subject to his rights and remedies under the Philippine laws.
7. If the Customer fails to take delivery of the Products, except for any reason or cause beyond the Customer’s reasonable control or by reason of Storagemart’s fault, then without prejudice to any other right or remedy, Storagemart reserves the right to terminate the Purchase Contract.

1. All returns must be done in accordance with the instructions set out here. Storagemart is not obliged to agree to any return unless all such instructions are followed to its satisfaction.
2. The return of a product may be allowed only when the product received is wrong, faulty or damaged, is fundamentally different in nature from the Product specified in the Purchase Contract or does not serve the purpose for which the product is bought (e.g. for fashion items, product received does not fit).
3. Subject to Clauses VI. 1 and 2, a product may be returned within fourteen (14) days or seven (7) days, depending on the product, from the date of the delivery of the Product.
4. As an alternative to returning faulty or damaged products under Clause VI. 2, a customer may request for replacement of such Products. Such request shall be irrevocable upon notification of the request to Storagemart and the customer may not later elect for a return under the same clause. Where the Products have not been replaced within a reasonable time, Storagemart may, at its sole discretion, grant to the Customer a reduction of the price in proportion to the reduced value of the Products, provided that under no circumstance shall such reduction exceed 15 percent (15%) of the price of the affected Products. Upon replacement or price reduction being made as accordingly, the customer shall have no further claim against Storagemart. Provided further that when a product is to be replaced, the non-conforming products shall be returned first to Storagemart.
5. Risk of damage to or loss of the Products shall pass to the customer at the time of delivery, or if the customer wrongfully fails to take delivery of the Products, the time when Storagemart or its agents or employees have tendered delivery of the Products.
6. Where the customer refuses to receive or take possession of the product without sufficient cause or justification, or returns the item without sufficient cause or justification, as provided under Clause VI. 2, Storagemart will safely keep the item for a period of fifteen (15) days, reckoned from the date Storagemart receives the product from customer. After the lapse of such period, the product or item is deemed abandoned by customer, and Storagemart may dispose of the product or item.

All refunds shall be made via the original payment mechanism and to the person who made the original payment, except for Cash on Delivery, where refunds may be made via bank transfer or store credit into the individual’s bank account provided that complete and accurate bank account details are provided to us.
2. Storagemart offers no guarantee of any nature for the timeliness of the refunds reaching the customer’s account. The processing of payment may take time and it is subject to the respective banks and/or payment provider internal processing timeline.
3. All costs associated with the refund process imposed by the processing bank and/or payment provider shall be borne by Storagemart.
4. All refunds are conditional upon our acceptance of a valid return of the Product.
5. Storagemart reserves the right to change or modify the mechanism of processing refunds at any time without notice.

1. To register on the Website, you need to specify a login name and a password. Storagemart further needs your contact information for issuing the invoice. You are responsible for keeping this information correct, confidential, and up to date.
2. By completing the contact form, you ensure and take full responsibility that the entered data truly identifies you as a natural person or as a representative of the specified organization. If you place an Order on behalf of an organization, you ensure that you have the authority to do so.
3. Storagemart is not liable for any consequences that may result from incorrect, incomplete, or false information you have entered or from data you have changed subsequently to your Order.
4. In case of online payments, you are required to enter your payment details. Storagemart does not receive detailed information (such as your credit card number) from transactions but instead receives information about whether the payment has been performed successfully or not.
5. By placing your Order, you agree that your contact and payment information may be used to process your payment and to execute your Order.
6. Storagemart shall comply with the provisions of the Philippine laws and statutes on data protection and take all reasonable measures to keep your personal information confidential and secure.
7. Storagemart will disclose your personal information to third parties only to the extent necessary to process your payment, to enforce and fulfill the purchase agreement, or to comply with legal and administrative obligations.
8. Storagemart will not disclose your personal information to any third parties for marketing and advertising purposes without your explicit consent.

Unless Storagemart is proven to have defaulted intentionally or through gross negligence, claims for damages or the rescission of the contract on grounds of late delivery is excluded. Storagemart’s total liability in any matter arising out of or related to these General Terms is limited to the purchase price.

1. 1. Unless otherwise provided under these Terms & Conditions of Sale, Storagemart’s rights and remedies under these Terms & Conditions of Sale are without prejudice and in addition to any rights or remedies that may have in law or in equity.
   2. If any part of these General Terms is or becomes legally invalid or ineffective, the validity of the other provisions shall not be affected thereby. In this case, the invalid or ineffective provision shall be replaced by a provision which comes as close as possible to the economic purpose of the invalid or ineffective provision.
   3. Storagemart reserves the right to amend these General Terms after prior written notification. Changes shall apply to your existing purchase agreements only, subject to the conditions that Storagemart has informed you about the intended changes in writing and that you did not object to the changes within a period of four weeks.
   4. These General Terms and the Purchase Contract constitute the entire agreement between you and Storagemart regarding your product purchase and supersede all previous agreements that may have been made. In case of conflict between these General Terms and the Purchase Contract, the latter shall prevail.
   5. Any and all changes and amendments to a purchase agreement concluded with Storagemart shall be submitted in writing. This shall also apply to a waiver of this written form clause.
   6. A person or entity who is not a party to these Terms & Conditions of Sale shall have no right under any legislation in any jurisdiction to enforce any term of these Terms & Conditions of Sale, regardless of whether such person or entity has been identified by name, as a member of a class or as answering a particular description. For the avoidance of doubt, nothing in this Clause shall affect the rights of any permitted assignee or transferee of these Terms & Conditions of Sale.
   7. These General Terms & Conditions of Sale shall be governed by, and construed in accordance with the laws of Philippines.
